WHAT IS THE TUCSON IDA?
The Industrial Development Authority of the City of Tucson, Arizona (the "IDA"), is a non-profit corporation, designated as a political subdivision of the State of Arizona (the "State"), authorized to provide lower cost financing for qualified Projects through the issuance of revenue bonds ("Bonds"). The IDA's Bonds are exempt from Arizona income taxation. Similarly, the Bonds may be tax-exempt from federal income taxation, provided that the Bonds are issued in compliance with the requirements of the Internal Revenue Code of 1986, as amended (the "Code").
The IDA provides financing of community development projects whenever appropriate and where traditional sources of funding may be unavailable. The IDA also assists first time single family home buyers through its Mortgage Revenue Bond and Mortgage Credit Certificate Programs.

WHO IS THE IDA?
The IDA’s Board of Directors is comprised of private, volunteer citizens appointed by the Mayor and Council of the City of Tucson, Arizona (the “City”). Members of the IDA’s Board of Directors cannot be officers or employees of the City of Tucson, Arizona. The Board of Directors meets monthly or as otherwise necessary. Directors serve a 6-year term. The members of the IDA’s current Board of Directors are:

Downtown. Neighborhood and Community Development
The TIDA promotes and assists on projects designed to enhance, revitalize and rehabilitate the cultural, social, economic, historical and physical resources of the downtown, lower income neighborhoods, infill projects and of the broader Tucson community. |
POSITION:
The Board will support the work of the Authority and provide mission-based leadership and strategic governance. While day-to-day operations are managed by the Authority’s staff, Financial Advisor and Legal Counsel, the Board-Staff relationship is a partnership, and the leadership and direction of the Board is both critical and expected. Specific Board Member responsibilities include:
Leadership, governance and oversight:
- Serve as advisor to staff in the development and implementation of the Authority’s strategic plan
- Review outcomes and metrics created by the Authority for evaluating its impact, and regularly measuring its performance and effectiveness using those metrics; reviewing agenda and supporting materials prior to Board and Committee meetings
- Approve the Authority’s annual budget, audit reports, and material business decisions; being informed of, and meeting all, legal and fiduciary responsibilities
- Represent the Authority to stakeholders; acting as an ambassador for the organization
- Attend all Board and committee meetings and functions, such as special events
- Be informed about the organization’s mission, services, policies, and programs
- Review agenda and supporting materials prior to Board and committee meetings
- Serve on committees or task forces and offer to take on special assignments
- Inform others about the organization
- Suggest possible nominees to the Board who can make significant contributions to the work of the Board and the organization
- Keep up-to-date on developments in the organization’s field
- Follow conflict-of-interest and confidentiality policies
- Refrain from making direct special requests of the staff, consultants, and agents to the Board
- Assist the board in carrying out its fiduciary responsibilities
Board terms/participation:
The Board of Directors shall be appointed by the Mayor and Council of the City of Tucson, Arizona (the “City”). Board members shall serve for terms of 6 years unless otherwise set forth by the City’s Mayor and Council in order to create or maintain 3 overlapping terms. Each Director shall hold office until the next annual meeting of the Directors at which the Director’s term expires and until the Director’s successor shall have been appointed by the Mayor and Council. Regular Board meetings will be held on the second Thursday of each month and committee meetings and special meetings will be held as needed.
Attendance at Meetings:
Any member of the Board of Directors who misses four (4) consecutive meetings for any reason or who fails to attend for any reason at least forty (40) percent of the meetings called in a calendar year is automatically and immediately removed as a memb
Qualifications:
Statutory:
Pursuant to A.R.S. § 35-705, all members of the Board of Directors shall be duly qualified City electors, and may not be officers or employees of the City. All directors shall declare any conflict of interest as provided in Title 38, Chapter 3, Article VIII of the Arizona Revised Statutes (A.R.S. § 35-705 et seq.)
General:
This is an extraordinary opportunity for an individual who is passionate about the Authority’s mission and goals and who has a track record of leadership. Selected Board Members will have achieved leadership stature in business, government, or the non profit sector.
Ideal candidates will have the following qualifications:
- Knowledge and/or experience with affordable housing
- Knowledge and/or experience with non-profit and community development programs
- Familiarity with tax-exempt bond financing
- Familiarity with community lending programs
- Natural affinity for cultivating relationships and persuading, convening, facilitating, and building consensus among diverse individuals
- Personal qualities of integrity, credibility, and a passion for improving the standard of living of the residents of Tucson
Ideal candidates should also have the following Personal characteristics:
- Ability to: listen, analyze, think clearly and creatively, work well with people individually and in a group
- Willing to: prepare for and attend Board and committee meetings, ask questions, take responsibility and follow through on a given assignment
- Develop certain skills if you do not already possess them, such as to: read and understand financial statements, learn more about the substantive program area of the organization
- Possess: honesty, sensitivity to and tolerance of differing views; a friendly, responsive, and patient approach; community building skills; personal integrity; a developed sense of values; a sense of humor
- Appreciates the diverse qualities inherent in our community and desires to address the economic inequalities that exist
Compensation:
Neither Directors, officers nor relatives of a Director or an officer shall receive any salary or other compensation for their services in violation of Arizona Revised Statutes Section 38 – 481.
Open Public Meeting Law Requirements:
This public body must comply with all of the provisions of the Open Public Meeting Law, including provisions requiring that a record of all meetings be maintained.
